Terms of Service – CRM Africa

Applicability:

These Terms govern your use of CRM Africa (“we,” “us,” “our”), including our web and mobile applications, any beta or trial versions, and associated services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

Service Description

CRM Africa provides cloud based customer relationship management and business management software tailored to African enterprises. The Service enables you to manage contacts, sales pipelines, invoicing, projects, communications and related workflows. You may access the Service through supported web browsers or mobile applications and are responsible for securing your own internet connection and devices.

Beta Services and Free Trials

We may offer certain features as beta or trial services for testing and evaluation. Beta and trial Services are provided as is and may be modified, suspended or discontinued at any time. Trial periods end upon the earlier of (i) the specified trial period, (ii) the start of a paid subscription, or (iii) our termination in our sole discretion. Data entered during a trial may be lost unless you subscribe or export your data before the trial ends.

Eligibility and Account SignUp

You must be at least 18 years old (or the age of majority in your jurisdiction) and legally capable of entering into contracts. When signing up, you agree to provide true, accurate, current and complete information and to promptly update that information as necessary. If we suspect that your information is untrue or incomplete, we may suspend or terminate your account.

If you sign up on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

Organization Accounts and Administrators

Organization accounts may designate one or more administrators. Administrators are responsible for configuring the Services and managing users. You are responsible for maintaining control of administrator accounts and ensuring that all activities under your organization account comply with these Terms. If you need assistance in recovering administrative control, contact us and we will require proof of authority.

Use Restrictions

You are solely responsible for any content you publish or transmit using the Services. Public content may be accessible on the internet and indexed by search engines. You must ensure that you have the necessary rights and permissions to share any content and that such content does not infringe or violate any third party rights. We may block or remove content if we receive complaints of illegality or infringement.

ThirdParty Applications

CRM Africa may integrate with third party applications (e.g., payment processors, communications providers). Your use of such thirdparty applications is subject to their own terms and privacy policies. We are not responsible for and do not endorse these thirdparty services; we may suspend or disable integrations at any time without liability.

Fees, Plans and Renewals

CRM Africa offers free and paid subscription plans. Fees, features and limits for each plan are described on our website. Subscription fees for monthly or annual plans are billed in advance and are non-refundable, except where required by law. By subscribing, you authorize us (or our payment processor) to charge your designated payment method at the start of each subscription period. Subscriptions automatically renew unless you downgrade to a free plan or notify us at least seven (7) days before the renewal date. We may adjust pricing on renewal with reasonable notice. You are responsible for all applicable taxes, which we will invoice in accordance with local laws.

Personal Information and Privacy

Your personal information is governed by our Privacy Policy. By using the Service, you agree to that policy. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Please notify us promptly of any unauthorized use or security breach.

Data Ownership and Use

You retain ownership of all content you create or store in CRM Africa. We do not claim ownership of your data and will not use, reproduce or share your content for our own marketing purposes without your consent. However, you grant us a limited license to host, copy, transmit and display your content solely to provide and improve the Services.

Hosting Locations

The location of the cloud facility serving your account depends on your region at signup. We may migrate your account to another data center if necessary and may require you to migrate to comply with regional laws. Do not mask your IP address when signing up; if your actual region differs from our records, we may migrate or close your account.

UserGenerated Content

You are solely responsible for any content you publish or transmit using the Services. Public content may be accessible on the internet and indexed by search engines. You must ensure that you have the necessary rights and permissions to share any content and that such content does not infringe or violate any third party rights. We may block or remove content if we receive complaints of illegality or infringement.

Communications from CRM Africa

The Services may include communications such as service announcements, administrative messages and newsletters. You may opt out of newsletters, but not of service-related announcements.

Complaint and Abuse Procedures

If we receive a complaint regarding your use of the Services, we will forward it to your primary email address. You must respond directly to the complainant within ten (10) days and copy CRM Africa in the communication. If you do not respond, we may disclose your name and contact information to the complainant to allow them to pursue legal remedies.

Inactive Accounts

We reserve the right to terminate unpaid user accounts that have been inactive for 120 days. We will notify you before termination and give you an opportunity to export your data. Activity in one product does not keep accounts in another product active. In multi user accounts, activity by any user will keep the account active.

Sample Files and Templates

We may provide sample files, templates or applications for demonstration purposes. Such samples contain random or dummy data and are provided without warranty as to accuracy or usefulness.

Intellectual Property and Trademarks

CRM Africa retains all rights to our software, platform, logos, trademarks and other proprietary materials. You may not copy, reproduce, distribute, modify or create derivative works from our IP without our prior written permission. The names “CRM Africa” and our logos are trademarks of CRM Africa.

Disclaimer of Warranties

The Services are provided “as is” and “as available.” We expressly disavow all warranties, whether express or implied, including but not limited to merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure or error free; that data loss will not occur; or that any defects will be corrected.

Limitation of Liability

To the maximum extent permitted by law, CRM Africa shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data or business opportunities. Our total liability to you for any claim arising from the Services is limited to the greater of US $1,000 or the fees you have paid to CRM Africa in the twelve (12) months preceding the event giving rise to the claim.

Indemnification

You agree to indemnify, defend and hold CRM Africa and our officers, directors, employees, partners and affiliates harmless from any claims, damages, losses and expenses (including attorneys’ fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of another.

Suspension and Termination

We may suspend or terminate your account if we suspect illegal activities, prolonged inactivity or requests from law enforcement. You may object to suspension by contacting us within thirty (30) days. We may terminate suspended accounts after thirty days. If we materially breach our obligations under these Terms, you may terminate your account and request a pro-rated refund of prepaid fees. Termination includes denial of access and deletion of your data.

Modifications to Terms

We may modify these Terms with notice. Material changes will take effect after 30 days’ notice via email or service announcement. If you do not agree to the changes, you may terminate your account within that notice period and receive a prorated refund of any unused prepaid fees. Continued use of the Services after the effective date constitutes your acceptance of the modified Terms.

Governing Law and Jurisdiction

For customers located in Africa, these Terms are governed by the laws of the countries where we have a presence — namely South Africa, Nigeria, Kenya and Egypt. For customers located in the United States, these Terms are governed by the laws of the State of Delaware. In every case, you agree to submit to the exclusive jurisdiction of the courts located in the relevant region.
